1. Products covered by these Terms

Ivixico Embroidery Business Cloud (IEBC) is business-management software for embroidery and custom-apparel businesses, including customer, quote, artwork, order, production, invoice, portal, file, storefront and integration workflows. IEBC Instant Digitizer is automated software that converts suitable artwork into embroidery-production outputs such as DST files and Production PDFs and may provide editable stitch decisions, previews, recommendations and project storage. The Embroidery Project Price Calculator estimates project pricing from information supplied by the user and, where supported, design-file data. Product availability and features may vary by plan.

2. Accounts and eligibility

You must provide accurate account information, keep credentials secure, and use the Services only for lawful business purposes. You are responsible for activity under your account and for managing access granted to employees, contractors, clients or other users. You must be legally able to enter into these Terms in your jurisdiction.

3. Your business decisions remain your responsibility

IEBC provides software tools and does not act as your accountant, bank, escrow agent, lawyer, tax adviser, insurer or production guarantor. You remain responsible for quotes, prices, taxes, customer commitments, artwork approvals, orders, production settings, invoices, payment records, shipping, refunds, inventory, employee actions and other business decisions made using the Services.

4. Instant Digitizer is automated software

Instant Digitizer is not a human digitizing service. Automated output can contain mistakes, including unsuitable stitch types, density, sequence, underlay, compensation, trims, jumps, color order, size or routing. A preview, warning, recommendation or “ready” status is not a guarantee of sewability or production quality. You must review generated files in appropriate embroidery software and physically sew-test every design on representative material before production. You are responsible for machine setup, operator safety, garment replacement, customer approval and final production decisions.

5. Price Calculator results are estimates

The Embroidery Project Price Calculator uses the figures, assumptions and file data supplied to it. Results are estimates and are not accounting, tax or financial advice. You are responsible for confirming labor, machine time, material costs, overhead, taxes, fees, margins and final customer pricing.

6. Pricing, free access, trials and subscriptions

Current public pricing is shown on the applicable pricing or checkout page and may change prospectively. As of this effective date, IEBC offers a Forever Free plan and paid plans advertised at $29/month Starter, $69/month Business and $129/month White Label, with any annual pricing or promotions shown on the pricing page. Instant Digitizer advertises a 3-day free trial and launch pricing of $500/month or $3,240/year where that promotion is available; checkout controls if it shows a different current price, tax, currency, trial or promotion. The Price Calculator currently has free/public usage and IEBC-plan usage limits rather than a separate calculator subscription. We may correct obvious pricing or description errors before accepting a purchase.

Where a trial requires a payment method, you will not be charged the subscription fee during the stated trial period. Unless you cancel before the trial expires, the selected paid subscription may begin automatically and renew according to the checkout terms until cancelled.

7. Cancellation and refunds

You may cancel an eligible recurring subscription to stop future renewals. Cancellation normally takes effect for future billing and does not automatically refund a charge already validly incurred. Refund eligibility is governed by our Refund Policy, the checkout terms, applicable payment-provider rules and mandatory law. If a renewal is charged after your cancellation was already effective because of an IEBC, IVIXICO or payment-processing error, contact [email protected] so the charge can be investigated and corrected.

8. Acceptable use — adult/NSFW content is prohibited

You may not use any Service to upload, create, generate, process, store, transmit, sell, promote or facilitate pornography, sexually explicit content, nudity, sexualized content, adult sexual services, or other NSFW/adult material. You also may not use the Services for unlawful content, exploitation or abuse, harassment, fraud, malware, deceptive activity, infringement, content that violates another person’s rights, or attempts to bypass security, account, billing, trial or usage controls. We may remove prohibited content or suspend or terminate access where reasonably necessary to enforce these rules or protect users, systems or third parties.

9. Artwork, uploads and intellectual property

You retain rights you already hold in content you upload. You grant IVIXICO the limited rights reasonably necessary to host, process, transform, transmit, back up and display that content to provide the Services. You must have all rights and permissions required to upload, digitize, reproduce, embroider, print, store or otherwise use the artwork and data you submit, including trademark, copyright, publicity and customer permissions.

10. Customer and tenant data

Businesses using IEBC may store information about their own clients, employees, orders and communications. The tenant business is responsible for its instructions, lawful basis, notices and permissions for that information. Our handling of personal information is described in the Privacy Policy.

11. Communications and consent records

We may send transactional, security, account, billing, legal and support communications needed to operate the Services. Optional marketing, product-update or feedback communications are handled separately from required legal acceptance and may be withdrawn as described in the Privacy Policy. We may retain records showing when and how Terms, policies or optional communications consent were accepted, including document version or fingerprint, timestamp, IP address, user agent and account identifiers.

12. Payments and third-party services

Paid subscriptions may be processed by third-party providers, including a merchant of record such as Creem. Their checkout, tax, payment, refund and dispute rules may also apply. Integrations and third-party services such as accounting, email, hosting or payment services remain subject to their own terms and availability. We are not responsible for third-party outages or changes outside our reasonable control.

13. Availability, changes and backups

We do not guarantee uninterrupted or error-free availability. Maintenance, upgrades, hosting failures, attacks, third-party outages or other events can interrupt access. Features and limits may change when reasonably necessary for security, legal, technical or business reasons. Keep independent copies of production-critical files and business records.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not warrant that software output, pricing estimates, integrations, generated embroidery files or other results will be error-free, fit for a particular production purpose or produce a specific business result. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

15. Limitation of liability

To the maximum extent permitted by law, IVIXICO and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, damaged garments/materials, machine downtime, missed deadlines or customer claims arising from use of the Services. Any limitation applies only to the extent permitted by applicable law and does not limit liability that cannot legally be limited.

16. Suspension and termination

We may restrict, suspend or terminate access for material breach, fraud, prohibited content, security risk, non-payment, unlawful use, abuse of trials or limits, or where required by law. You may stop using the Services at any time and may cancel recurring subscriptions using the available cancellation flow or by contacting support where appropriate.

17. Changes to these Terms

We may update these Terms as products, pricing, vendors or legal requirements change. The current version will show its effective date. Where required, material changes may be communicated through the website, account, email or another reasonable method, and renewed acceptance may be requested.

18. Governing rules and mandatory rights

The contracting IVIXICO entity, any checkout or written order terms, and applicable law determine the governing rules for a specific transaction. Nothing in these Terms waives non-waivable consumer, privacy, payment-card or other statutory rights that apply to you.
