End-User License Agreement

1. Agreement and contracting party

This End-User License Agreement (“Agreement” or “EULA”) governs access to and use of IEBC Embroidery Manager, related portals, websites, integrations and services (collectively, the “Service”). By creating an account, starting a trial, connecting QuickBooks Online, purchasing a subscription or using the Service, you agree to this Agreement.

“IEBC”, “we”, “us” and “our” mean the IEBC entity identified on your order, checkout, subscription confirmation or invoice. IEBC operates through IVIXICO LLC in the United States and IVIXICO LTD in the United Kingdom. If no entity is identified, IVIXICO LLC is the contracting provider.

2. Eligibility and authority

You must be legally capable of entering a binding contract. If you use the Service for a company or other organisation, you represent that you have authority to bind that organisation. You are responsible for ensuring that your use, your users and the data you enter comply with applicable law and this Agreement.

3. Limited licence to use the Service

Subject to payment of applicable fees and compliance with this Agreement, IEBC grants you a limited, non-exclusive, non-transferable, revocable right during your subscription or authorised trial to access and use the Service for your internal embroidery, printing, apparel-decoration or related business operations.

You may permit authorised employees, contractors and clients to use assigned portal features. You remain responsible for their actions. White-label, custom-domain or client-facing rights apply only where included in the purchased plan.

4. Accounts and administrators

• Provide accurate information and keep it current.
• Keep credentials confidential and use reasonable account-security practices.
• Assign roles and permissions appropriately and remove access when no longer required.
• Notify IEBC promptly of suspected compromise or unauthorised use.
• Maintain lawful authority to upload, process and share all business, client, employee and artwork data entered into the Service.

The business owner or designated administrator controls its tenant, users, settings, connected services and customer records.

5. Your data and content

You retain ownership of data and content submitted to the Service (“Customer Data”). You grant IEBC a limited licence to host, copy, transmit, process, display and back up Customer Data only as necessary to provide, secure and support the Service, comply with law and carry out your instructions.

You represent that you have all rights, notices and consents necessary for Customer Data, including personal information, artwork, trademarks, designs and files belonging to clients or other third parties.

6. QuickBooks Online integration

The QuickBooks Online integration is optional. By connecting a QuickBooks company, you authorise IEBC to access and synchronise the QuickBooks data selected in the integration settings, which may include customers, products and services, invoices and recorded payments.

• You must be authorised to connect and manage the selected QuickBooks company.
• You control connection settings and may disconnect through IEBC or Intuit.
• You are responsible for reviewing synchronised records and resolving business or accounting discrepancies.
• IEBC is not an accounting firm and does not provide accounting, tax or legal advice.
• Intuit is an independent third party, is not a party to this Agreement, and is not responsible for the Service or support provided by IEBC.

QuickBooks and Intuit are trademarks of Intuit Inc. Their use in the Service identifies interoperability and does not imply sponsorship or endorsement.

7. Acceptable use

You must not:

• use the Service unlawfully, fraudulently, deceptively or to violate another person’s rights;
• upload malware, malicious scripts, unlawful content or content you are not authorised to use;
• probe, scan, bypass or interfere with security, authentication, tenant isolation, rate limits or access controls;
• reverse engineer, copy, resell, sublicense or commercially exploit the Service except as expressly authorised;
• use automated means that create unreasonable load or disrupt other users;
• access another tenant’s data or attempt to obtain credentials, tokens or confidential information; or
• use QuickBooks data for advertising, data brokerage or any purpose unrelated to the Service’s stated functionality.

8. Trials, subscriptions and payment

Plan features, prices, billing periods, taxes, trial terms, promotional offers and limits are shown at checkout or in the applicable order. Unless stated otherwise, subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or expressly stated in the applicable offer.

Failure to pay may result in restricted access, suspension or termination. You remain responsible for amounts accrued before cancellation or termination. Third-party payment providers may apply their own terms.

9. Third-party services

The Service may interoperate with QuickBooks Online, payment processors, email providers, hosting providers, domain and security services and other third-party products. Your use of a third-party service is governed by that provider’s terms and privacy policy. IEBC does not control and is not responsible for third-party downtime, changes, data practices or decisions.

10. IEBC intellectual property

IEBC and its licensors own the Service, software, interfaces, workflows, documentation, branding, designs and all related intellectual-property rights, excluding Customer Data. No ownership is transferred to you. Feedback may be used by IEBC without restriction or payment, provided it does not identify confidential Customer Data.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the purposes of the relationship. This obligation does not apply to information that is public through no breach, independently developed, lawfully received without restriction or required to be disclosed by law.

12. Security and service changes

IEBC uses safeguards designed to protect the Service and Customer Data. You acknowledge that no online service is completely secure or uninterrupted. We may perform maintenance, modify features, impose reasonable usage limits or take urgent action to protect users, data or infrastructure. Where practical, we will provide notice of material changes or planned interruptions.

13. Suspension, termination and data retrieval

You may stop using the Service, disconnect integrations or cancel according to your plan. IEBC may suspend or terminate access for non-payment, security risk, unlawful conduct, material breach or conduct that threatens the Service or other users.

Before closing an account, you should export information you need. Following account closure or a verified deletion request, IEBC will handle Customer Data according to the Privacy Policy. Sections intended by their nature to survive—such as payment obligations, ownership, confidentiality, disclaimers, liability and dispute terms—remain effective.

14. Support

Support is available through the Service and at [email protected]. Support scope and response priority may vary by plan. You are responsible for providing accurate information and reasonable cooperation when requesting technical assistance.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. IEBC disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and uninterrupted or error-free operation. We do not warrant that synchronised accounting records are complete, legally compliant or suitable for tax reporting. You remain responsible for reviewing business and accounting records and consulting qualified advisers.

16. Limitation of liability

To the maximum extent permitted by law, IEBC will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity arising from the Service. IEBC’s aggregate liability arising from the Service will not exceed the fees paid by you to IEBC for the affected Service during the twelve months before the event giving rise to the claim.

These limits do not apply where prohibited by law or to liability that cannot legally be limited.

17. Indemnity

To the extent permitted by law, you will defend and indemnify IEBC against third-party claims, losses and reasonable costs arising from Customer Data, your unlawful or unauthorised use, infringement caused by materials you provide, or breach of this Agreement.

18. Governing law and disputes

The governing law and courts are those stated in your order or invoice. If none are stated: agreements with IVIXICO LLC are governed by Ohio law and disputes are subject to the state or federal courts located in Ohio; agreements with IVIXICO LTD are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales. Mandatory consumer protections in your country remain unaffected.

19. Changes to this Agreement

We may update this Agreement for legal, security, operational or service changes. We will post the revised version and update the “Last updated” date. Material changes may also be communicated through the Service or by email. Continued use after the effective date constitutes acceptance, except where law requires additional consent.
